Terms of Service
These Terms of Service (“Terms”) govern your use of WIP Ready (the “Service”), a Procore Marketplace application that automates monthly Work-in-Progress reporting. By installing or using the Service, the Procore company on whose behalf you act (“Customer”) agrees to these Terms.
The Service
The Service reads project financial data from Procore via Customer-authorized OAuth tokens, collects Estimate-to-Complete inputs from project managers, and produces WIP schedules and related reports. The Service is provided through a web interface embedded inside the Procore platform and through email and token-based links to project managers.
Accounts & access
Authentication is delegated to Procore. You must have a valid Procore account in good standing and the appropriate permissions inside your Procore company to use the Service. You are responsible for maintaining the security of your Procore credentials and for actions taken under your account.
Acceptable use
You agree not to:
- Use the Service in violation of applicable law or the Procore Developer Policy.
- Reverse engineer, scrape, or attempt to extract source code or non-public data.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to send unsolicited communications or to access data you are not authorized to access in Procore.
Customer data
Customer retains all rights to the project financial data, ETC submissions, and reports created in or through the Service (“Customer Data”). Customer grants us a limited license to host, process, and display Customer Data solely to provide the Service. Our handling of Customer Data is further described in our Privacy Policy.
Fees
Fees, if any, and billing terms are specified in the Procore Marketplace listing or in a separate order form between Customer and us. Taxes are Customer’s responsibility.
Term & termination
These Terms apply for as long as the Service is installed in your Procore account. Either party may terminate by uninstalling the Service or with reasonable written notice. We may suspend or terminate access immediately for material breach, abuse, or risk to the Service. On termination, we will delete or return Customer Data as described in the Privacy Policy.
Warranties & disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Reports produced by the Service are an aid to, not a substitute for, professional accounting judgment.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or related to these Terms will not exceed the fees paid for the Service in the twelve months preceding the event giving rise to the claim, or one hundred U.S. dollars if no fees have been paid.
Procore
The Service is a third-party application available through the Procore Marketplace. Procore is not a party to these Terms and is not responsible for the Service. “Procore” is a trademark of Procore Technologies, Inc.
Changes
We may update these Terms from time to time. Material changes will be announced through the Service or by email to the primary contact on the Procore installation. Continued use of the Service after a change constitutes acceptance.
